Remuneration Committee

The Company’s Remuneration Committee consists of three members, appointed by resolution of the Board of Directors. More than half of the members must be independent directors.

The Committee convenes at least twice annually. Acting in a professional and objective capacity, the Committee evaluates the Company’s remuneration policies and systems for directors and managerial officers, and submits its recommendations to the Board of Directors for deliberation.

The responsibilities of the Remuneration Committee are as follows:

  • Regularly review the company’s “Remuneration Committee Organizational Regulations” and propose amendments.
  • Establish and periodically review the policies, systems, standards, and structure for the remuneration of directors and managers.
  • Regularly evaluate the remuneration packages and amounts for directors and managers.
